(Nasdaq: RDZN) (“Roadzen” or the “Company”), a global leader in AI at the convergence of insurance and mobility, today announced that it has entered into a securities purchase agreement with institutional investors for the purchase and sale of 4,705,870 ordinary shares at an offering price of $1.70 per share, in a registered direct offering (the “Offering”).
The gross proceeds to the Company from the Offering are estimated to be approximately $8.0 million before deducting the placement agent’s fees and other estimated offering expenses. The offering is expected to close on or about May 5, 2026, subject to the satisfaction of customary closing conditions.
Maxim Group LLC is acting as the sole placement agent in connection with the Offering.
The securities are being offered pursuant to a shelf registration statement on Form S-3 (File No. 333-282966), which was declared effective by the U.S. Securities and Exchange Commission (the “SEC”) on November 12, 2024.
